- Η Ευρωπαϊκή Ιδιωτική Εταιρία (λατινικά: Societas Privata Europaea, SPE) είναι νομική μορφή για εταιρεία Περιορισμένης Ευθύνης, που προς το παρόν προτείνεται από την Ευρωπαϊκή Επιτροπή ώστε να συσταθεί στην Ευρωπαϊκή Ένωση. Συνίσταται από μία Εταιρεία Περιορισμένης Ευθύνης (ΕΠΕ), παρόμοια με την αγγλική limited company, την Αυστριακή ή Γερμανική GmbH, την Ολλανδική BV, ή την Γαλλική SARL. Ο σκοπός της πρότασης είναι να απομακρυνθεί η τρέχουσα ανάγκη για τις εταιρίες περιορισμένης ευθύνης να επανασυστήσουν τον εαυτό τους σε αντίστοιχη νομική μορφή σε όλα τα κράτη μέλη της ΕΕ στα οποία θέλουν να δραστηριοποιηθούν, η ανάγκη αυτή προς το παρόν αντιπροσωπεύει σημαντική διοικητική εργασία για τις μικρές και μεσαίες επιχειρήσεις. Προτάθηκε η μορφή επιχείρησης SPE να συσταθεί στην ΕΕ και στον ΕΟΧ από τον Ιούλιο του 2010. Η SPE τελικά φαίνεται να έρχεται αυτό το έτος (2011) και καθυστερείται από τους Γερμανούς (CDU), ώστε να επιτρέψουν πρώτα στις δικές τους εθνικές εναλλακτικές (τις mini-GmbH) να μεγαλώσουν. Η SPE θα μπορούσε να διευκολύνει την έναρξη νέων επιχειρήσεων και την ευρωπαϊκή ολοκλήρωση και έτσι θα βοηθήσει τις μικρές επιχειρήσεις και τους επιχειρηματίες, λόγω των διαχειρίσιμων κεφαλαιακών απαιτήσεων, που δεν έχουν μεγάλη διαφορά με την νομική μορφή British Limited (Ltd). - Una Sociedad privada europea (en latín, societas privata europaea, SPE) es un tipo de compañía de responsabilidad limitada, propuesto por la Comisión Europea para toda la Unión Europea y el AEE en su conjunto. La SPE es similar a la sociedad limitada (S.L.) española, las GmbH alemanas y austríacas, la SARL francesa y las LLC del mundo anglosajón. Con ello, supone una fórmula distinta de la Sociedad Europea, un tipo de sociedad anónima. El principal objetivo de esta figura jurídica es facilitar el acceso al mercado único europeo a las empresas pequeñas o medianas (pymes). Con este fin, exige un capital inicial relativamente reducido, como es el caso de la tradicional Limited (Ltd.) británica y la nueva Unternehmergesellschaft (UG) alemana, introducida en 2008. Además, la concepción legal de la SPE tiene la ventaja de que se reducen los obstáculos legales que supone tener que adaptarse al ordenamiento jurídico de cada uno de los países en los que opera la empresa. - A European Private Company (Latin: societas privata Europaea, SPE) is a legal form for a limited liability company that is being proposed by the European Commission to be introduced across the European Union. It forms a company of limited liability, similar to the English limited company, the Austrian or the German GmbH, the Dutch BV, the Belgian BVBA or the French SARL. The aim of the proposal is to remove the current need for limited companies to reincorporate themselves in the corresponding legal form in all the EU member countries in which they want to trade, which represents a substantial administrative burden for small and medium enterprises. It was proposed that the SPE company form be introduced across the EU and EEA area from July 2010. The SPE was finally set to arrive in 2011 and is being slowed by the current ruling parties of Germany (CDU) to allow their own national alternative (the mini-GmbH) to grow first.
